Terms of Service
These terms cover the agreement between your restaurant and us. They are written to be read rather than skimmed past, and they say what each side is responsible for when something goes wrong.
Last updated 28 August 2026
These terms are published in good faith and reflect how we actually work. They have not yet been reviewed by external counsel, and a signed agreement, where one exists, takes precedence over this page.
1The agreement
By creating an account or using Coda, your restaurant agrees to these terms. Coda is provided by Oneiros Coda Private Limited, based in Ottapalam, Kerala. If someone accepts these terms on a restaurant's behalf, they confirm they are authorised to do so.
2What Coda is, and what it is not
Coda is software for running a restaurant: taking orders, routing them to the kitchen, managing the floor, collecting payment, tracking purchases and reporting on all of it.
We are not the seller of any food or drink ordered through it. The contract for a meal is between the guest and the restaurant. We do not set prices, write menus, prepare food, or take responsibility for its quality or safety.
3What the restaurant is responsible for
The accuracy of its menu, prices, allergen and dietary markings, and item descriptions.
Its own tax configuration. Coda calculates GST from the settings you provide, including your GSTIN, tax categories, HSN codes, service charge and, where relevant, the tariff band that decides your slab. Those settings are yours to get right, and we recommend your accountant checks them before you go live.
Its licences, including FSSAI registration, and its compliance with food safety and local law.
Keeping staff accounts and PINs secure, and removing access when someone leaves.
Its own obligations to its guests as their Data Fiduciary under the DPDP Act 2023.
4Payments
Guest payments are processed by PhonePe or Razorpay and settle to the restaurant's own account under that provider's terms. We do not hold your money and we are not a payment intermediary. Their fees, settlement timelines and dispute processes are theirs, not ours.
Refunds and chargebacks are between the restaurant, the guest and the payment provider. Coda records them so your books stay accurate.
5Your data is yours
Menus, orders, guest records, vendor ledgers and reports belong to the restaurant. We process them to run the service, and we will export them to you on request while your account is active and for 30 days after it closes.
We do not sell your data, and we do not use your guest records to market to them.
6Availability
We work to keep Coda running through service, since that is when it matters. We do not promise uninterrupted availability. Planned maintenance is scheduled outside typical service hours and announced in advance where we can.
Coda needs a working internet connection. It does not currently operate offline, and we say so rather than let you find out during a rush.
7Fees
Your plan and rate are agreed with us directly. Founding Partner rates, once agreed, are held for the life of the account as described on that page. We will give at least 30 days' notice by email before any change that affects you.
8Acceptable use
Do not attempt to breach the platform, access another restaurant's data, resell access without our agreement, or use Coda to break the law. We may suspend an account that does, and we will tell you why.
9Liability
Nothing here excludes liability that cannot lawfully be excluded. Beyond that, our total liability in any twelve-month period is limited to the fees you paid us in that period.
We are not liable for lost profit or lost business arising from an outage, from errors in data you entered, or from a third-party service such as a payment provider or your internet connection failing.
10Ending it
You may stop using Coda at any time. Tell us and we will export your data and close the account. We may end the agreement with 30 days' notice, or immediately if an account is being used unlawfully.
11Governing law
These terms are governed by the laws of India. The courts of Kerala have jurisdiction. Before either side goes to court, we would rather you called us.
